BEIJING (July 30, 2009) – China Everbright Group and Sun Life Financial Inc. announced today they have entered into an agreement to reposition Sun Life Everbright Life Insurance Company Limited to capture a larger share of China’s growing financial services sector. The restructuring, which is subject to regulatory approval, is anticipated to take effect by the end of this year.
“This important agreement strengthens the strategic partnership between China Everbright and Sun Life,” said China Everbright Group Chairman Mr. Tang Shuangning. “It will advance mutual support and the common interests of both companies to grow, to serve Chinese consumers, and to achieve a larger share of the Chinese domestic protection market.”
Sun Life Everbright’s registered capital will more than double from approximately RMB 1.2 billion to RMB 3 billion (CDN$200 million to CDN$500 million), providing a basis to further strengthen the organization’s presence within China’s financial services market as a domestic organization. Under the terms of the agreement, Sun Life will convert its 50% ownership position in the joint venture to retain a 20% holding of an expanded and repositioned Sun Life Everbright Life Insurance Company Limited.
The conversion allows Sun Life and China Everbright to supplement their alliance with strong local partners, providing Sun Life a significant stake in a larger domestic financial services company with greater reach and influence across China. The banking and securities operations of China Everbright Group will also become more important marketing and distribution channels for the products and services of Sun Life Everbright.
Sun Life will retain significant input into the overall governance and risk management of Sun Life Everbright. Under the agreement, Sun Life has the ability to increase its ownership interest in Sun Life Everbright up to the maximum foreign investment permitted within a domestic life insurer. An enhanced partnership between China Everbright Group and Sun Life also contemplates expansion into other financial services.
